These Terms of Use define the various conditions applicable between registered customers (hereinafter referred to as “Members”) and KOGANEI Corporation (hereinafter referred to as “Koganei”) when Members use the services provided through Koganei’s information contents, including the Internet-based sales site Webshop K＠ciao! (hereinafter referred to as the “Webshop”) (hereinafter collectively referred to as the “KOG Services”).

These Terms shall apply when customers use the KOG Services, as well as to all transactions conducted through the use of the KOG Services.

Members shall comply with all provisions of these Terms.

These Terms shall apply from June 2002.

Koganei may change or revise these Terms without obtaining Members’ consent.
Such changes or revisions shall become effective when the revised Terms are posted on the KOG Services on the Internet.

１．Regarding Member Registration
（１） Customers wishing to register as Members shall agree to these Terms and complete the member registration through the designated member registration application form on the Koganei website (hereinafter referred to as the “Website”) in accordance with the procedures specified by Koganei.
（２） In order to use all KOG Services, a Member ID (email address) and a password designated by the Member are required.
（３） Koganei shall register the Member ID (email address) for each customer who applies for member registration together with the password entered at the time of application.
The Member ID (email address) and password will be notified to the customer by email after the completion of member registration.
（４） Koganei shall approve applications for member registration except in the following cases:
① When false information has been provided in the registration details
② When the applicant’s membership has previously been revoked based on these Terms
③ When Koganei otherwise determines that the applicant is inappropriate as a Member

２．Regarding the Management of Member ID and Password
（１） After receiving registration completion by email, Members may change their password on the Website at their own responsibility.
（２） Members shall manage their Member ID (email address) and password at their own responsibility.
（３） Members shall not allow a third party to use, lend, transfer, change the registered name of, sell, pledge as security, or otherwise dispose of their Member ID (email address) and password (hereinafter referred to as “ID, etc.”).
（４） If a Member becomes aware of theft of the ID, etc., or use by a third party, the Member shall immediately notify Koganei.
（５） Koganei shall not be liable for any damages arising from misuse, unauthorized use, leakage, theft, or other improper use of the ID, etc.

３．Regarding Changes to Registered Information
（１） If there are any changes to the company name, address, telephone number, fax number, email address, or other information registered at the time of application, Members shall promptly complete the necessary procedures through the “Change Member Information” section on the Website.
（２） Koganei shall not be liable for any damages incurred by Members due to failure to complete the change procedures when using the KOG Services.

４．Regarding Deletion of Member Information
If a Member wishes to delete their registration for personal reasons, the Member shall complete the withdrawal procedure through the “Membership Cancellation” section on the Website.

５．Scope of Responsibility and Disclaimer of Koganei
（１） Koganei shall not be liable for any damages incurred by Members through the use of the KOG Services, except in cases where such damages are caused by Koganei’s willful misconduct or gross negligence.
（２） If a Member causes damage to a third party through the use of the KOG Services, the Member shall resolve the matter at their own responsibility and shall not cause any damage to Koganei, except in cases where Koganei’s willful misconduct or gross negligence exists.
（３） If a Member causes damage to Koganei through fraudulent or improper means, the Member shall be liable to compensate Koganei for such damages.

６．Regarding Service Content
Koganei may separately establish terms regarding the use of the KOG Services.
In such cases, those terms shall constitute part of these Terms.

７．Regarding Point Benefits
（１） Eligible Members for Point Granting
Members who are logged in as Koganei WEB Members are eligible.
（２） Eligible Activities for Point Granting
・ Discounts on purchases made at the Koganei Webshop
・ New CAD data downloads
※ Duplicate formats are not eligible.
（３） Use of Points
・ Points are granted according to the purchase payment amount (product price only) at the Koganei Webshop
・ New CAD data downloads
※ Duplicate formats are not eligible.
※ The conversion rate and upper limits for discounts and point exchanges are determined solely by Koganei.
※ Points cannot be redeemed for cash under any circumstances.
（４） Point Addition, Deduction, and Grant Rates
Point deductions, additions, and grant rates shall be determined solely by Koganei.
（５） Expiration of Points
All acquired points shall expire upon withdrawal from WEB membership.
（６） Suspension and Resumption of Point Services
The suspension and resumption of the point service shall be determined solely by Koganei.
（７） Method for Checking Points
Displayed on the “Point History” page in the Member’s account.

８．Regarding Revocation of Membership
（１） Koganei may revoke a Member’s membership without prior notice if any of the following occur:
① When payment for products is delayed or not made despite reminders issued by Koganei within a reasonable period
② When the Member becomes subject to provisional attachment, compulsory execution, auction proceedings, bankruptcy, civil rehabilitation, corporate reorganization, corporate liquidation, special liquidation, or delinquency in public taxes
③ When the Member violates these Terms
④ When false information in the registration details is discovered
⑤ When the Member improperly or unlawfully uses the ID, etc.
⑥ When Koganei determines that the Member is inappropriate
（２） If Koganei revokes a Member’s membership, the Member shall lose the benefit of time for all obligations arising from the use of the KOG Services and shall immediately pay all outstanding amounts to Koganei.
Any costs incurred by Koganei for collection of such payments shall be borne by the Member.

９．Regarding Periodic Information Distribution Service (Email Newsletter)
Koganei shall distribute an email newsletter (hereinafter referred to as the “Newsletter”) to Members for the purpose of providing periodic information.
If a Member does not wish to receive the Newsletter, the Member shall change the newsletter subscription setting to “No” in the member information section on the Website and confirm the change.
In principle, Koganei does not modify newsletter subscription settings on behalf of Members.

１０．Prohibited Acts
When using the KOG Services, Members shall not engage in any of the following acts:

（１） Providing false information during member registration
（２） Impersonating another person to send or post information
（３） Altering information on the Website
（４） Sending or posting harmful computer programs or similar content on the Website
（５） Infringing copyrights or intellectual property rights displayed on the Website
（６） Unauthorized access to Koganei’s computer systems
（７） Any other acts deemed inappropriate by Koganei
（８） Disclosing information obtained from the Website to third parties, or copying, transmitting, altering, or editing such information without prior consent

１１．Jurisdiction
The court having jurisdiction over the location of Koganei’s head office shall be the court of first instance for all disputes arising in connection with these Terms.

１２．Governing Law
The formation, validity, performance, and interpretation of all sales and other contracts between customers and Koganei shall be governed by the laws of Japan.

１３．Revision of the Terms of Use
Except as otherwise provided in these Terms, Members shall be deemed to have agreed to revisions of these Terms upon publication of the revised content on the Website.

６．Regarding Returns and Exchanges
（１） Upon receipt of products, please promptly check that the contents match your order.
　　Due to the nature of the products, returns or exchanges for customer convenience are generally not accepted.
　　Whether to accept returns or exchanges shall be determined at Koganei’s discretion.
　　In such cases, re-packaging fees, shipping costs, and other expenses shall be borne by the customer.
（２） While every effort is made in shipping products, if delivered products differ from the order, have incorrect quantities, are damaged or soiled prior to delivery, or have any defects, please contact us within 7 days of receipt.Koganei will bear the cost of replacement or refund.
